Terms of Service

These Terms of Service ("Terms") govern access to and use of EmpAi Social Automation (the "Service"), available at https://social.empai.ai and provided by Janyx LLC ("Janyx LLC", "we", "us"). By creating an account, signing in, or using the Service, you agree to these Terms. If you use the Service on behalf of a business or other organization, you confirm that you are authorized to accept these Terms on its behalf, and "you" refers to that organization and its authorized users.

1. The Service

EmpAi Social Automation is a multi-tenant software service that helps businesses ("Tenants") to:

  • connect their own TikTok account(s) using TikTok's official Login Kit;
  • generate draft content with the help of artificial intelligence, including videos created from the Tenant's product images and prompts, image posts, photo carousels, captions, descriptions and hashtags;
  • review and approve content through an approval workflow, plan it on a content calendar and place it in a scheduling queue;
  • publish approved content to a connected TikTok account through TikTok's official Content Posting API, either directly ("Direct Post") or by sending it to the account's TikTok inbox as a draft to be finished in the TikTok app; and
  • view publishing status, errors and, where the account owner has granted the relevant permission, basic analytics.

The Service does not read or reply to TikTok comments, create Stories, tag products, or add TikTok Shop links. Features depend on what TikTok's APIs allow and may change if TikTok changes its APIs or policies.

2. Accounts

You must provide accurate account information, keep your sign-in credentials confidential, and notify us promptly of any unauthorized use. You are responsible for activity under your account and for the users you invite to your Tenant workspace.

3. Connecting TikTok accounts

  • You may only connect TikTok accounts that you own or are authorized to manage. Authorization happens on TikTok's own screens, where you choose which permissions to grant.
  • Your use of TikTok remains subject to TikTok's own terms, policies and community guidelines, including TikTok's Music Usage Confirmation and rules on commercial content disclosure. EmpAi Social Automation is not affiliated with, endorsed by or sponsored by TikTok.
  • You can disconnect a TikTok account at any time in the Service. When you do, we revoke our access with TikTok and delete the stored access tokens. You can also remove the Service's access from within your TikTok app settings.
  • Content posted through the Service is published under your TikTok account and is visible according to the privacy level you choose. While our TikTok integration has not completed TikTok's audit, TikTok may restrict posts made through it to private visibility.

4. Your content and your responsibilities

You retain all rights you have in the images, videos, text, prompts and other materials you provide ("Your Content") and in content generated for you by the Service. You grant us a limited, non-exclusive license to host, process, transform and transmit Your Content solely to provide the Service to you, including sending it to TikTok when you instruct us to publish.

You are responsible for Your Content and for everything you publish. In particular, you confirm that:

  • you have all rights, licenses and consents needed for Your Content, including for any people, music, trademarks or products shown;
  • you review all AI-generated content before approving or publishing it, and you correctly disclose commercial content (for example, promotion of your own brand or branded content for a third party) when posting;
  • your content and use of the Service comply with applicable law, advertising and consumer-protection rules, and TikTok's policies.

The Service only publishes after a user explicitly confirms the post. You are responsible for the settings you choose, including privacy level and interaction settings.

5. AI-generated content

The Service uses third-party AI models to generate drafts. AI output can be inaccurate, incomplete, similar to content produced for others, or otherwise unsuitable, and we do not guarantee its accuracy, originality or fitness for a particular purpose. Content generated with AI is labeled as AI-generated when it is posted to TikTok, as TikTok requires. You must not remove or circumvent such labels.

6. Acceptable use

You must not use the Service to:

  • post content that is unlawful, infringing, deceptive, hateful, harassing, sexually explicit involving minors, or that violates TikTok's Community Guidelines;
  • send spam, run fake engagement, impersonate others, or connect TikTok accounts you are not authorized to manage;
  • attempt to access other Tenants' data, probe or bypass our security, or reverse-engineer the Service except where the law allows;
  • use the Service in a way that breaches TikTok's developer or platform terms or exceeds rate limits through automation not provided by the Service.

We may suspend or remove content or accounts that we reasonably believe violate these Terms.

7. Fees

If your use of the Service is subject to fees, they are set out in your order or agreement with Janyx LLC. Unless otherwise agreed in writing, fees are non-refundable except where required by law.

8. Privacy

Our Privacy Policy explains how we collect and use personal data, including data obtained from TikTok. To the extent we process personal data on your behalf as a business customer, we do so as your processor/service provider in accordance with your instructions.

9. Third-party services

The Service relies on third-party services, including TikTok's APIs, hosting providers, and an AI provider. We are not responsible for third-party services, and their availability or changes (for example, changes to TikTok's API or approval of our integration) may affect the Service.

10. Availability and changes

We work to keep the Service available and secure but do not guarantee uninterrupted or error-free operation, or that any post will be accepted or published by TikTok. We may modify the Service. If we make material changes to these Terms, we will notify you (for example by email or in the Service) before they take effect.

11. Termination

You may stop using the Service and request deletion of your account at any time (see Data deletion). We may suspend or terminate access for material breach of these Terms or where required by law or by TikTok. On termination, we revoke connected TikTok authorizations and delete your data as described in the Privacy Policy.

12. Disclaimers

To the maximum extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement.

13. Limitation of liability

To the maximum extent permitted by law, Janyx LLC will not be liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data or goodwill. Our total liability arising out of or relating to the Service is limited to the amounts you paid us for the Service in the twelve months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for intent or gross negligence where such a limitation is not permitted.

14. Indemnity

You will indemnify Janyx LLC against third-party claims arising from Your Content or your breach of these Terms or of TikTok's terms, to the extent permitted by law.

15. Governing law

These Terms are governed by the laws of the jurisdiction in which Janyx LLC is organized, without regard to conflict-of-law rules. This does not deprive you of any mandatory protections of the law of the country where you are established or reside.
